ARTICLES OF INCORPORATION

We, the undersigned incorporators, hereby associate ourselves together to form and establish a corporation not for profit under the laws of the State of Kansas.

FIRST: The name of the corporation is NORTHEAST BASEBALL/SOFTBALL ASSOCIATION.

SECOND: The location of its principal place of business in this state is 4645 North Hillcrest, Wichita, Sedgwick County.

THIRD: The location of its registered office in this state is 4645 North Hillcrest, Wichita 67220, Sedgwick County, Kansas

FOURTH: The name and address of it's resident agent in this state is John Livengood, 4645 North Hillcrest, Wichita 67220, Sedgwick County, Kansas

FIFTH: This corporation is organization not for profit and the objects and purposes to be transacted and carried on are:

1. To develop character and usefulness and to improve the sportsmanship and physical condition of the youth of our community, Endeavoring to teach team play and team spirit, companionship and association, through competitive sports;

2.To purchase, lease, hold, sell, develop, mortgage, convey or otherwise acquire or dispose of real or personal property necessary or proper for carrying out the purposes of this corporation;

3. No part of the net earnings of the corporation shall inure to the benefit of any member, director, officer of the corporation, or any private shareholder or individual, and no member, director, or officer of the corporation shall be entitled to share in any of the corporate assets on dissolution of the corporation. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.

4. Notwithstanding any other provision of these Articles, the corporation shall not conduct or carry on any activities not permitted to be conducted or carried on by an organization exempt under Section 501(c)(3) of the Internal Revenue Code of 1986 ("the Code") and it's Regulations as they now exist or as they may be hereafter amended, or by any organization contributions to which are deductible under Section 170(c)(2) of the Code and Regulations as they now exist or may hereafter be amended.

5. Upon the dissolution of this corporation or the winding up of it's affairs, all of the property, funds and assets of the corporation at such time shall be distributed exclusively for charitable or educational purposes, within the meaning of Section 501(c)(3) of the Code, to such organization or organizations organized exclusively for such purposes, and with purposes and standards similar to those of this corporation, as the Board of Directors may direct.


SIXTH: The corporation shall not have authority to issue capital stock.

SEVENTH: The members of this corporation shall consist of the persons hereinafter named as incorporators and such other persons as from time to time hereafter may become members in the manner provided in the bylaws.

EIGHTH: Bylaws for the operation of the corporation shall be adopted at the first meeting of directors.

TENTH: The corporation shall have perpetual existence.

ELEVENTH: The number of directors of the corporation shall be not less than five (5) or more than fifteen (15) in number. Until their successors are elected as provided in the bylaws, the above named incorporators shall serve as directors.
